摘　　要：被最高人民法院列入"三起重大再审产权案"之一的牧羊集团股权案,近日迎来破局点。9月17日,江苏省南京市中级人民法院对牧羊集团股东徐有辉、徐斌诉范天铭、李敏悦、刘春斌等人损害公司利益一案作出一审判决(下称"损害公司利益案"),法院认为,结合李敏悦、范天铭、刘春斌、刘广道在牧羊有限公司增资过程中违反对公司的忠实勤勉义务,以及在增资后进一步转移牧羊集团业务的行为.The court found that the capital increase agreement was invalid,which means that Jiangsu Muyang Holding Co.,Ltd.,which carries the core business of Muyang Group,is expected to return to the state of absolute control by Muyang Group.However,it took 6 years from the fi ling of the case in 2014 to the recent fi rst-instance judgment.During this period,the"Fengshangxi"company established by Fan Tianming,the president of Muyang Group,quietly emerged and grew rapidly,but Muyang Group was poor and weak.
