摘  要:商誉作为一种客观的社会现象,本身属于一定具体的价值体系。传统观点仅看到商誉可以成为促进优质产品(以顾客为主体)、获得超额收益(以经营者为主体)等的手段价值。但从整个社会价值体系的角度而言,对商誉的追求和维护,更具有人和社会发展的一定文化意义和价值目标的性质。商誉所反映和崇尚的诚信、公平等精神理念,对于形成和巩固现代社会文明秩序、培育人的现代文明素质、构建健康文明的现代生活方式等,都具有积极的意义,因此可以成为人类文明进步的一个标志性因素。在理解商誉的价值时,需要以工具与目的相统一的价值维度进行考量。在市场经济法治化建设的过程中,应进一步完善对商誉权的立法和司法设置,如明确侵害商誉权的主体界定、分析商誉侵权的构成、落实侵权责任及赔偿方式等,为全方位形成以人为本、尊重知识产权的社会主义市场经济和文化环境开拓新的局面。As an objective social phenomenon,goodwill belongs to a specific value system.Traditionally,goodwill is regarded as a value of means to obtain high-quality products(with customers as the main body) and excess returns(with managers as the main body).But from the point of view of the whole social value system,the pursuit and maintenance of goodwill is not only of a certain cultural significance,but also represents the nature of value objectives of human and social development.Goodwill reflects and advocates the spiritual concepts of honesty and fairness,which are of positive significance for the formation and consolidation of modern social civilization order,as well as the cultivation of modern civilization quality and the construction of healthy and civilized modern life style.Therefore,we need to understand goodwill from the dimension of value with unity of tool and purpose In the process of legalization of market economy,we should further improve the legislative and judicial settings of the right of goodwill,such as defining the subject of the right of goodwill infringement,analyzing the composition of the right of goodwill infringement,implementing the liability for infringement and the way of compensation,etc.,so as to open up a new situation for the all-round formation of a socialist market economy and cultural environment of people-oriented and respect for intellectual property rights.
