公司实际控制人制度对经理管理防御的影响研究

摘　　要：实际控制人是指虽不是公司的股东,但通过投资关系、协议或者其他安排,能够实际支配公司行为的人。由于实际控制人与经理之间具有一定的特殊关系,既有合作又有竞争,因而应当深刻认识到公司实际控制人制度对经理管理防御的影响,并采取切实有效的措施优化和完善公司管理体系。论文对此进行了研究和探讨,在分析公司实际控制人制度对经理管理防御的影响的基础上,就如何构建更加科学和完善的管理体系提出了优化对策,旨在为促进公司可持续发展提供参考与借鉴。The actual controller refers to the person who is not a shareholder of the company,but can actually control the behavior of the company through investment relationship,agreement or other arrangements.Due to the special relationship between the actual controller and the manager,there are both cooperation and competition.Therefore,we should deeply understand the influence of the actual controller system on the manager management defense,and take effective measures to optimize and improve the company's management system.Based on the analysis of the influence of the actual controller system on the management defense of managers,this paper puts forward optimization countermeasures on how to build a more scientific and perfect management system,aiming to provide reference for promoting the sustainable development of the company.
