主合同有仲裁约定时保证合同诉讼之程序建构

摘　　要：司法案例表明,主合同有仲裁约定时连带保证合同之诉的受理和裁判存在混乱和无序,其原因在于法院对仲裁协议性质、连带责任保证诉讼机理的误读。现有的处理模式既无法实现理论自洽,也无法缓解司法僵局。因此要借鉴民事实体法规定和程序法原理,法院对保证合同之诉应予受理并独立审理。在程序建构上,应尊重债权人的处分权,允许其自由选择对债务人的仲裁程序或对保证人的诉讼程序。然而,当诉讼程序和仲裁程序并存时,基于债务人承担最终责任的基本法理,应先对主合同纠纷予以仲裁,保证合同之诉中止审理,并根据仲裁结果的不同情形对保证合同之诉分别作出处理。Judicial cases show that when there is an arbitration agreement in the main contract,there is confusion and disorder in the acceptance and adjudication of the litigation of the joint guarantee contract,which stems from the misunderstanding of the nature of the arbitration agreement and the litigation mechanism of joint and several liability guarantee.The existing processing mode can neither achieve theoretical self-consistency nor alleviate judicial deadlock.In view of this,returning to the provisions of civil substantive law and the principle of procedural law,the court should accept and independently hear the lawsuit of guarantee contract.In the procedure construction,the creditor’s right of disposition should be respected,and the creditor should be allowed to freely choose the arbitration procedure against the debtor or the litigation procedure against the guarantor.However,when the litigation procedure and arbitration procedure coexist,the main contract should be arbitrated first and the litigation against guarantor should be suspended based on the basic legal principle that the debtor bears the final responsibility,and the litigation against guarantor should be dealt with separately according to the different situations of the arbitration results.
