摘　　要：我国A股上市公司数量增长迅速,大量A股上市公司定制公司章程的需求日益增长。对于上市公司章程修订应当遵循的基本原则,如何修改可以在不违反法律规定的情况下抵御外来的恶意收购,如何预防可能出现的公司内部人控制和公司僵局情形,都成为上市公司不得不思考和面对的问题。本文归纳总结了上市公司章程的完善应当遵循的基本原则,在此基础上,对于上市公司章程的完善提出了完善建议。The number of A-share listed companies in China is growing rapidly,the demand for a large number of A-share listed com panies to customize their articles of association is increasing day by day.The basic principles that should be followed in the revision of the articles of association of listed companies should be followed.How can the revision resist malicious foreign acquisitions without violating the law?Preventing possible insider control and company deadlock has become a problem that listed companies have to think about and face.This paper summarizes the basic principles that should be followed in the improvement of the articles of association of listed companies,on this basis,puts forward some suggestions for the improvement of the articles of association of listed companies.
