摘 要:跨国并购能拓展企业市场空间,优化企业要素配置,推动企业价值链跃升,从效率变革、动能转换、结构优化等方面对企业转型升级产生深刻影响。在跨国并购活动中,企业应基于转型升级战略需求,特别关注跨国并购意图、并购目标、并购模式及并购后整合四大问题。为最大程度发挥跨国并购的转型升级效应,应把能否实现转型升级作为衡量我国企业跨国并购成功与否的根本标准,持续完善企业跨国并购的决策机制、利益协调机制、监督机制以及制度保障机制,积极、审慎地制定和运作符合企业转型升级战略的跨国并购方案,确保通过跨国并购实现企业的转型升级。Cross-border mergers and acquisitions can expand enterprise market space,optimize enterprise factor allocation,promote the leap of enterprise value chain,and have a profound impact on enterprise transformation and upgrading from the aspects of efficiency transformation,kinetic energy transformation and structure optimization.In cross-border M&A activities,enterprises should pay special attention to the four major issues of cross-border M&A intention,M&A target,M&A mode and post M&A integration based on the strategic needs of transformation and upgrading.In order to maximize the transformation and upgrading effect of cross-border M&A,we should take the realization of transformation and upgrading as the fundamental standard to measure the success of cross-border M&A of Chinese enterprises,continuously improve the decision-making mechanism,interest coordination mechanism,supervision mechanism and system guarantee mechanism of cross-border M&A,and actively and prudently formulate and operate cross-border M&A schemes in line with the enterprise transformation and upgrading strategy,thus to ensure the transformation and upgrading of enterprises through cross-border M&A.
