摘　　要：随着物流行业的竞争加剧,人才流失造成了物流企业竞争力的下降。而股权激励计划有利于实现企业与员工目标的一致化,能够提高员工的积极性,吸引并稳定人才。韵达股份作为物流行业中的知名企业同样采取了股权激励计划,分析其前后两次股权激励方案的内容,总结了股权激励方案中的异同点,有利于完善韵达股权激励方案,也为其他预实施股权激励的物流企业提供借鉴。最后结合企业分析,对韵达股权激励计划制定提出了建议。With the increasing competition in the logistics industry,the continuous brain drain has caused the decline of the competitiveness of logistics enterprises.And the equity incentive plan is conducive to achieve the goal of enterprise and staff consistency,can improve the enthusiasm of employees,attract and stabilize talents.As a result,the equity incentive plan of the two logistics enterprises can be used for reference.Finally,combined with the enterprise analysis,the paper puts forward some suggestions on the formulation of Yunda equity incentive plan.
