摘　　要：随着铁路非运输企业公司制改革的完成,各铁路局集团公司和非运输企业在法人主体地位和经营主体责任上的管理关系也需要进一步明晰,以发挥铁路非运输企业的现代企业制度效能。在阐明铁路企业划分与职能的基础上,分析现阶段铁路局集团公司对非运输企业管理关系上存在的问题,通过界定两者权责,准确定位两者之间的关系。提出建立铁路非运输企业的法人治理体系,以实现企业自主经营、自负盈亏,确保国有资产保值增值责任。After railway non-transport enterprises completed the reform of introducing the corporate system,the management relationship between CR regional groups and non-transport enterprises regarding the status of legal person entity and the responsibility of operating entity needs to be further clarified,so as to give full play to the modern enterprise system of railway non-transport enterprises.On the basis of clarifying the classification and functions of railway enterprises,this paper analyzes the challenges existing in the management relationship between CR regional groups and non-transport enterprises and accurately determines the relationship between them by defining their rights and responsibilities.It proposes a corporate governance system for railway nontransport enterprises,so as to enable them to be responsible for their own operation,profits,and losses and ensure the responsibility of maintaining and increasing the value of state-owned assets.
