摘  要:随着企业竞争、企业兼并现象的不断加剧,中小企业的生存与发展日益严峻,加之中小企业对于优秀人才的吸引力存在先天缺陷,如何选择并运用好股权激励模式对于中小企业的发展极其关键。本文首先分析了股权激励的特征与作用,其次对股权激励模式进行了分析与探讨,并进行了实例剖析,最后得出结论:虚拟股票模式以及复合型的股权激励模式是当前中小企业的最佳选择。With the increasing competition and merger of enterprises,the survival and development of small and mediumsized enterprises(SMEs)have been in a more and more severe situation.In addition,there are congenital defects in the attraction of excellent talents in small and medium-sized enterprises,so how to choose and make good use of equity incentive model is extremely critical for the development of SMEs.This paper first analyzes the characteristics and role of equity incentive,analyzes and discusses this equity incentive model,carries on case studies,and finally comes to the conclusion that phantom stock model and compound equity incentive model are the best choice of SMEs at present.
