董事会治理结构对内部控制有效性的影响

摘　　要：在“三会一层”的治理结构中,董事会是最重要的一环,健全有效的董事会治理结构能够提升治理能力,改善内部控制。基于不完全契约理论和利益相关者理论,董事会规模、独立董事比例、董事会会议次数、董事薪酬和董事年龄等数据样本选自2018—2020年度主板上市制造业企业,从组织结构、行为结构、激励结构、素质结构等董事会治理结构的四个维度,运用实证分析法,探究公司的董事会治理结构与其内部控制的内在联系。研究发现:董事会规模、独立董事比例、董事会会议次数、董事薪酬和董事年龄均与内部控制有效性正相关。基于理论和实证研究,提出优化董事会规模、董事报酬和董事年龄,合理设置独立董事比例和董事会议次数。In the governance structure of“three boards and one top management”,the board of directors is the most important part.A sound and effective governance structure of the board of directors can improve the governance ability and internal control.Based on the incomplete contract theory and the stakeholder theory,data samples such as the size of the board of directors,the proportion of independent directors,the amount of board meetings,the remuneration of directors and the age of directors are selected from the manufacturing enterprises listed on the main board in 2018-2020.The internal relationship between the corporate governance structure of the board of directors and its internal control is explored by some empirical analysis from four dimensions of the board governance structure,namely organization structure,behavior structure,incentive structure and quality structure.It is found that the size of the board of directors,the proportion of independent directors,the amount of board meetings,the remuneration of directors and the age of directors are all positively related to the effectiveness of internal control.Based on theoretical and empirical research,it is proposed to optimize the board size,remuneration and age of directors,and set a reasonable proportion of independent directors and the amount of board meetings.
