论业主组织治理结构的完善

摘　　要：业主是房屋的所有权人,业主组织自然是住宅小区治理的核心主体,完善的业主组织治理结构是发挥其应有作用的前提条件。从证成和证伪的视角,论证委托代理理论适用于业主组织治理结构的构建。依据该理论,业主组织应当构建监督制衡的治理结构。通过对域外国家和地区业主组织治理结构的分析,依据我国业主组织治理结构和现代公司基本治理结构的现状以及非营利组织和村民组织构建治理结构的实践经验,我国业主组织主要应当构建监督制衡的二元制治理结构,即在业主大会和业主委员会的基础上,增加专门的监督机关——业主监事会。The owner is the owner of the house, and the owners’ association is the core subject of the residential district governance. A perfect governance structure is the prerequisite for it to play its due role. From the perspective of evidence and falsification, this paper proved that the principal-agent theory is suitable for the construction of the governance structure of the owners’ association. The owners’ association should construct the governance structure of supervision and balance. Analyzing the governance structure of owners’ associations in foreign countries and regions,and considering the current situation of the basic governance structure of owners’ associations and modern property management companies in China and the practical experience of non-profit associations and villagers’ associations in building governance structure, this paper held that owners’ associations in China should mainly build up a dual governance structure, that is, a special supervision organ—the owners’ supervisors committee is to be set up besides the owners’ assembly and the owners’ committee.
