摘　　要：跨界技术并购在为企业带来资源获取和优势重塑的创新机会的同时,也可能由于技术路径依赖等原因使并购目标的实现面临诸多不确定性。本文基于TOE框架和组态视角,采用模糊集定性比较分析法(fsQCA),以2007-2015年沪深两市上市公司为主并公司的94起跨界技术并购为样本,探究了不同技术环境、并购双方的技术条件和主并方的创新资源投入下,企业提升跨界技术并购绩效的多种前因组合。研究发现,在动荡技术环境下,内部研发投入是高创新绩效的关键条件,外部创新合作可以作为技术基础的互补条件;在平稳技术环境下,主并企业可以通过并购技术多元化程度较高的企业和广泛的外部技术合作实现较高的跨界技术并购创新绩效,同时,并购双方的技术邻近性与主并方的内部研发合作之间呈现互补关系。本文研究结论可为具有一定资源特质的企业,在一定技术情境下通过取长补短的组合思路达成跨界技术并购的目标,提供系统化决策支撑。In the information technology era, the exponential growth and low-friction flow of knowledge have overturned the traditional concept of boundaries, and the integration of technological resources across the original boundaries has become an irreversible trend,and industrial span-border has released unprecedented new economic momentum. In reality, enterprises have entered the track of boundary-spanning integration and development through boundary-spanning search, boundary-spanning cooperation and boundary-spanning M&A, and use it as an important path to maintain or seek resource advantages. However, while boundary-spanning technology M&A brings innovative opportunities for resource acquisition and advantage reshaping, it may also expose the realization of M&A objectives to many uncertainties due to technology path dependence and other reasons. While the existing literature confirms the "net effect" of individual variables such as technology characteristics, R&D investment, and environmental characteristics on innovation performance, there are no consistent findings. Based on this, it is inferred that the effects of these factors on post-merger innovation performance are not single effects, but rather complementary or substitution relationships between environmental or resource factors, resulting in a compound effect of multiple factors. If the complexity of innovation performance of boundary-spanning M&A cannot be explained from a holistic perspective,and the internal and external conditions that make boundary-spanning technology M&A more likely to achieve better innovation performance, the research findings will be of limited support for M&A decisions. TOE(Technology-Organization-Environment), which places the three levels of technology, organization and environment in the same research framework, can analyze and reveal the process of innovation performance of technology M&A from a holistic perspective, and therefore this paper takes this theory as the logical basis of the research.Based on this, a sample of 94 bo
