规制举办者权益:非营利性民办高校法人财产权的保障策略

摘　　要：基于举办者对民办教育发展的贡献和引导举办者选择非营利性办学,新法新政赋予举办者章程制定权、办学管理权、获薪权以及奖补权等。保障举办者权益,在一定程度上而言,对非营利性办学选择很重要,但也不能以危及学校法人财产权为代价,因为学校法人财产权是学校成为法人的前提。遵循学校法人财产权独立,是保障举办者权益不可逾越的鸿沟。但是从目前举办者所享有的权益来看,举办者权益规制不到位,如举办者制定章程的“立法”程序不规范、对举办者管理权制衡不到位,对举办者奖补机制不明朗等,极易导致举办者权利溢出,危及非营利性民办高校法人财产权。因此建议,以保障非营利性民办高校法人财产权为实践的逻辑起点,重新审视举办者相关权益。通过规范学校章程的“立法”程序、均衡内部权利结构、完善奖补机制、深化办学体制改革等方式规制举办者权益,实现学校法人人格与举办者人格独立,保障学校法人财产权。Based on the sponsor’s contribution to the development of private education and its influence on classification selection during the transition period,the new law and new policy endow the sponsor with the right to formulate articles of association,manage school,get paid and award and supplement.Safeguarding the rights and interests of the organizers is important for the transformation of non-profit running schools,but it cannot be at the expense of endangering the property rights of school legal persons,because the property rights of school legal persons are the premise for schools to become legal persons.Adhering to the independence of property rights of school legal persons is an insurmountable gap in safeguarding the rights and interests of organizers.However,the lack of regulations that endow sponsors with relevant rights and interests can easily lead to the overflow of sponsors’rights and endanger the property rights of legal persons in non-profit private universities.For example,the“legislation”procedure of the school charter is not in conformity,the checks and balances on the management rights of the organizers are not in place,and the reward and compensation mechanism for the organizers is unclear.Therefore,it is suggested to take safeguarding the property rights of legal persons in non-profit private colleges as the practical logical starting point,and re-examine the relevant rights and interests of the organizers.By standardizing the“legislative”procedure of the school charter,balancing the internal rights structure,perfecting the reward and subsidy mechanism,and deepening the reform of the school-running system,etc.,we can regulate the rights and interests of the sponsors,realize the independence of the personality of the school legal person and the personality of the sponsors,and guarantee the property rights of the school legal person.
