摘  要:将国有土地使用权出让合同定性为行政协议有充分的现实基础、规范基础和理论基础。2019年《最高人民法院关于审理行政协议案件若干问题的规定》第2条中“行政协议约定仲裁条款”应限缩解释为基于行政协议中“高权条款”所约定的“仲裁条款”,此种解释结论是科学解决纠纷的现实需要。在国有土地使用权出让合同纠纷中,基于“高权条款”产生的纠纷不可以仲裁,基于“平权条款”产生的纠纷可以仲裁。“两者交叉”的纠纷应按比例确定是否可以仲裁,高权因素属于过程性摄入的,属于低比例纠纷,可以仲裁;属于结果性摄入的,属于高比例纠纷,不可以仲裁。There is a sufficient realistic foundation,theoretical and normative basis to characterize the contract for the transfer of state-owned land use right as an administrative agreement.In Article 2 of the Provisions on the Trial of Administrative Agreement Cases of the Supreme people’s Court in 2019,"the arbitration clause agreed in the administrative agreement"should be construed as:based on the"arbitration clause"stipulated in the"power clause"in the administrative agreement,the conclusion of this interpretation is the practical need of scientific settlement of disputes.In the disputes over the contract for the transfer of state-owned land use right,the disputes based on the"power clause"cannot be arbitrated,and the disputes based on the"right clause"can be arbitrated,and the disputes of"the intersection of the two"should be determined according to proportion whether it can be arbitrated or not.If the high-power factor belongs to the procedural intake,it belongs to the low proportion dispute and can be arbitrated,which belongs to the high proportion dispute and cannot be arbitrated.
