摘  要:“三重授权原则”在微博诉脉脉案中首次提出并在司法实践中得到广泛运用,但其存在企业获权成本过高、授权冲突以及企业数据竞争与创新受阻等适用困境。综合分析“三重授权原则”的授权流程与授权主体间的法律关系发现,各授权环节间流程不畅、数据流通价值与数据安全价值冲突以及授权数据类型化不足是导致适用困境的主要原因。“三重授权原则”的优化对策应从明确各环节授权逻辑入手,以“关系论”视角梳理数据权属,通过引入信义义务明晰数据授权规则,缓解授权对抗,并在授权数据类型化的基础上形成差异化授权规则,实现数据保护与数据流通之间的动态平衡。The principle of triple authorization was first put forward in the case of Sina v. Maimai case and widely used in judicial practice. However, there are some diffi culties in its application, such as the high cost of obtaining authorization, the conflict of authorization and the hindrance of enterprise data competition and innovation. It can be found after comprehensive analysis of the “Triple Authorization Principle” of the authorization process and the legal relationship among the authorized subjects that the main reasons for the difficulty in application are the incoherence of authorization logic, the conflict between the value of data circulation and data security, and the lack of the classification of authorized data. Therefore, the optimization countermeasures of the “Triple Authorization Principle” should firstly clarify the authorization logic and process through the standardization of business ethics and the principle of good faith. Secondly, the “Relationship theory” and fiduciary duty are introduced to clarify the data authorization rules, and finally, the dynamic equilibrium between data protection and data use is realized by making their own rules for the classifi ed data.
