摘 要:党的十八大以来,国企混合所有制改革按照“完善治理、提高效率、强化激励、突出主业”十六字方针扎实推进,以“混资本、促融合”“谋经营、促发展”“改机制、提效率”为主要着力点进行了探索,调整优化国有经济布局,加快提升国企综合竞争力,在改革实践中形成了极具推广价值的经验和启示,推动国企混合所有制改革取得了实质性进展。然而,国企混合所有制改革仍面临现实难题和制度困境,如混改各方参与动力不足、混改后企业治理尚未理顺、差异化管控体系有待健全、市场化薪酬分配制度尚未建立、改制后企业的外部认可度还不高等,亟待深化解决和突破。鉴于此,应多元化精准化引入战略投资者,清单化界定治理主体权责边界,加快推进实施差异化管控模式,建立和完善混改评估机制,持续完善混改制度保障体系。Since the 18 th National Congress of the Communist Party of China, the reform of mixed ownership of state-owned enterprises has been solidly promoted in accordance with the principle of “improving governance, improving efficiency, strengthening incentives and highlighting the main business”, with “mixing capital and promoting integration”, “seeking operation and promoting development”, “reforming mechanism and improving efficiency”,adjusting and optimizing the layout of state-owned economy and enhancing the comprehensive competitiveness of state-owned enterprises. Some experiences and enlightenments have formed in practice, and substantial progress has been made.However, the reform still faces practical problems and institutional difficulties. For example, the motivation of all parties to participate in the mixed reform is insufficient, the corporate governance has not been rationalized, the differentiated management and control system needs to be improved, the market-oriented salary distribution system has not yet been established, and the restructured enterprises are not highly recognized by the society after reform. It is urgent to solve these problems and make breakthroughs. In view of this, we should precisely introduce the strategic investors, define the boundaries of powers and responsibilities of governance subjects, accelerate the implementation of differentiated management system, establish and improve the evaluation mechanism of mixed reform, and continuously improve the institutional guarantee system of mixed reform system.
