摘　　要：涉外造船合同中的担保,主要分为付款担保和还款担保两类。通常表现为银行保函和公司保函两种形式,具有独立担保和传统担保两种不同的法律性质。本文对以上两种担保展开分析,结合国际纠纷中的经验和教训,总结作为船厂在涉外造船合同中应当如何选择担保的形式,如何设置条款表述,如何规避风险,保障船厂的自身权益。The guarantee in foreign-related shipbuilding contracts can be divided into two categories:payment guarantee and repayment guarantee.They are usually manifested as two forms of bank guarantee and company guarantee,and have two different legal properties:independent guarantee and traditional guarantee.This paper analyzes the above two guarantees,combined with the experience and lessons in international disputes,and summarizes the form of up how to choose a guarantee in a shipbuilding contract,how to set the clauses,how to avoid risks,and protect the rights and interests of the shipyard.
