摘　　要：我国高等教育发展正处于一个机遇与挑战并存的时代,“双一流”建设方案的提出意味着我国高等教育现代化进程要实现“质”上的突飞猛进,更是意味着高校内部治理结构和治理能力都要迈向现代化。作为高校内部治理体系中重要机构,理事会对完善现代大学治理能力的作用不容忽视。本文通过回溯我国高校理事会的起源与发展,从理事会的定位、成员构成与职责权限等方面探究我国高校理事会面临的问题,借鉴美国、英国、法国等3个欧美国家高校理事会发展的经验和启示,为完善我国高校理事会制度提出建议。发挥理事会在高校治理中的功能和作用,首先应确立科学规范的理事会定位,促进高校决策模式的专业化;其次要倡导多方群体共同参与高校治理,促进决策主体的多元化;最后,需明确理事会参与学校治理的职责,促进高校决策职责的完备性,从而为我国“双一流”建设提供现代化的高校治理体制,实现“双一流”建设的战略性任务。The development of higher education in China is in an era of both opportunities and challenges.The proposal of“Double First-Class”construction scheme means that the modernization process of higher education should achieve rapid progress in“quality”,and it also means that the internal governance structure and governing ability of universities should move towards the modernization process.As an important institution in the college internal governance system,the role of the council in improving the governance capacity of modern universities cannot be ignored.This paper traces back to the origin and development of the college council in China,explores the tricky problems faced by the council from the aspects of the positioning,membership composition,responsibility and authority of the council,draws lessons from the development experience and enlightenment of the college council in America,Britain,France,and puts forward policy suggestions for improving the system of the college council in China.To give full play to the function and role of the council in the governance of universities,we should first establish a scientific and standardized orientation of the council and promote the specialization of the decision-making mode of universities.Secondly,we should advocate multiple groups to participate in university governance and promote the diversification of decision-making bodies.Finally,it is necessary to clarify the council responsibility to participate in college governance and promote the completeness of the college decision-making responsibility.Thus provides the modern university management system for“the Double First-Class”construction,realizes the strategic task of“the Double First-Class”construction.
