摘　　要：传统民法对于网络虚拟财产的调整存在制度供给失灵的问题,导致法院对网店转让纠纷存在裁判分歧。网店转让在性质上归属于营业转让的范畴,并可以法国法中营业转让为制度范本构建具体转让规则:在允许网店自由交易的基础上,构建所有权移转规则及交付标准;明确出让人负有瑕疵担保义务与竞业禁止义务;网店的债务承担应坚持“债务排除”原则,未来债务则可由受让人承担;确立网店的法定续租权;对网络交易平台设置相应的协助与监管义务。This paper analyzes the problem of system supply failure in the adjustment of virtual property in the traditional civil law,which will lead to differences in the judgment of the court on online store transfer disputes.It points out that the transfer of online stores belongs to the category of business transfer in nature,and the following specific transfer rules should be constructed based on the business transfer in national laws:on the basis of allowing free transactions in online stores,build ownership transfer rules and delivery standards;Make it clear that the transferor has the obligation of defect guarantee and non competition;The debt of online stores should adhere to the principle of"debt exclusion",and the future debt can be borne by the transferee;At the same time,the operation of online stores often has special interest needs,so the legal right to renew the lease of online stores should be established;Finally,the transfer of online stores also needs to rely on the technical services of the online trading platform,so the platform should also be set with corresponding assistance and supervision obligations.
