正确处理国有企业混合所有制改革与国有资本控制权的关系

摘　　要：在中国特色社会主义新时代背景下,新一轮国有企业改革对我国实现以市场为导向的经济转型至关重要。当前,我国国有企业已步入股权多元化的新征程,混合所有制改革是促进国有企业改革向纵深推进的基本途径。近年来,混合所有制改革正在从一般竞争性领域向关系到国家安全、国民经济命脉的重要行业和关键领域推进。在深化国有企业混合所有制改革过程中,必须正确处理混合所有制改革与国有资本控制权的关系。针对特定领域的国有企业混合所有制改革,不能放弃国有资本的控制权。这些特定领域包括自然垄断行业的自然垄断领域、自然垄断行业以外的基础性和支柱产业、金融业等。并且通过对中国石油和中国联通的混合所有制改革情况进行比较分析得出,在保证国有资本控制权的情况下,与国有资本绝对控股相比,国有资本相对控股的控制权形式更有效率。因此,推进特殊行业和领域的国有企业混合所有制改革,应以国有资本相对控股为主,少数领域或环节可采用绝对控股的形式,同时要探索更丰富的国有资本控制权形式,尽可能充分利用非国有股东治理,从而在保证国有资本控制权的同时,提高国有企业生产、经营效率和活力。In recent years,Mixed-ownership reform has been promoted from the run-of-mill field to the important industries and priority fields that are vital to national security and the lifelines of the national economy.In order to deepen SOE mixed ownership reform,we must correctly handle the relationship between mixed-ownership reform and control power of state-owned capital.State-owned capital should maintain necessary control power over the important industries and priority fields that are vital to national security and the lifelines of the national economy,including the natural monopoly fields of the natural monopoly industries,basic and pillar industries,financial industry,and so on.What’s more,through the comparative analysis of CNPC and CHU,it can be concluded that,while ensuring the control power of state-owned capital,the form of state-owned relative control is more efficient than state-owned absolute control.Therefore,in the process of promoting the mixed ownership reform of SOEs in special industries and fields,mainly adopt the relative holding of state-owned capital,and a few fields can be adopted the form of absolute holding.At the same time,it is necessary to explore more diverse forms of state-owned capital control,fully utilize fully the governance of non-state-owned shareholders,for improving the efficiency and vitality of state-owned enterprises while ensuring the control power of state-owned capital.
