摘　　要：在当今两权分离的公司形式下,委托—代理矛盾带来的问题愈演愈烈,股东投票是一种赋权股东直接参与公司治理的重要手段,但传统的纸质投票和互联网投票存在无法保证投票过程的公开透明和投票结果的真实性等问题。区块链投票技术弥补了以上投票方式的不足,提供了一个可以改善股东参与公司治理的进路,通过分布式记账和共识机制保证投票结果不可篡改。但其本身也存在着技术不成熟和成本较高等缺点。同时,相关法律的缺失还会导致公司对区块链投票技术的运用无法可依,需要及时应对区块链投票技术带来的不利影响并填补对应法律空缺以推动区块链技术在股东投票中的应用,从而赋能股东参与公司决策,推动公司治理机制的不断完善。In today's two rights separation company form,principal-agent problems intensified contradictions,a shareholder vote is a kind of important means of empowering shareholders directly participate in corporate governance,but the traditional paper-based voting and the Internet cannot guarantee the outcome of the vote cannot be tampered with and the transparency of the voting process.Blockchain voting technology makes up for the shortcomings of the above voting methods,provides a way to improve shareholders'participation in corporate governance,and ensures that voting results are tamper-proof through distributed accounting and consensus mechanism.But it also has its own technical defects and higher cost shortcomings.At the same time,the lack of relevant law can also lead to the company to block the use of chain voting technology can't depend on,in a timely manner to cope with negative influence of voting block chain technology and fill in the corresponding legal to push block chain technology in the application of a shareholder vote,so as to enable shareholders to participate in decision-making,promote the continuous improvement of the corporate governance mechanism.
