摘　　要：刑事司法实务中有关非法过户他人股权的案件判决存在同案不同判的现象,这降低了法律的权威性,伤害了人民群众对法律期待可能性的朴素情感。有限责任公司登记机关的变更公示是非法过户他人股权纠纷刑事认定的核心环节,在我国具有股权转移的实质意义。占有的对象应当限于实体物或物权化的财产性利益,股权不具有该特征,并且股权变更登记公示天下,因而非法过户他人股权的行为不构成盗窃罪。行为人利用单位职务非法过户本单位持有的其他公司股权的,可以依法认定为职务侵占罪。在涉及财产性利益的三角关系中,以受骗人与被害人之间的亲密关系作为受骗人处分地位的判断标准更为妥当;工商履职人员因法律赋权和商事习惯等因素具备股权处分权,因而非法过户他人股权行为一般构成三角诈骗。In the criminal judicial practice,the same case of illegal transfer of other's equity may have different judgments,which reduces the authority of the law and hurts the people's direct feelings about the possibility of law expectation.As a core aspect of the criminal determination of disputes over the illegal transfer of others'equity,the public announcement of the change by the registry of limited liability companies has substantive significance for the transfer of equity in China.The object of possession should be a physical object or a materialized property interest.Since this does not apply to equity and the registration of equity change is announced publicly,the illegal transfer of others'equity does not constitute the crime of theft.A perpetrator who takes advantage of his/her position to illegally transfer the equity of other companies held by his/her unit can be identified as the crime of duty encroachment.In the tripartite relationship involving property interests,it is more appropriate to take the intimate relationship between the deceived and the victim as the criterion for judging the disposition status of the deceived,and the industrial and commercial officers have the right to dispose of equity due to legal empowerment and commercial habits,so the illegal transfer of other's equity generally constitutes tripartite fraud.
