摘  要:非营利性民办学校剩余财产属于非营利性民办学校法人财产的重要内容。非营利性民办学校剩余财产处理的具体制度设计,是非营利性民办学校退出机制的关键环节。分类管理的背景下,亟需聚焦非营利性民办学校剩余财产处理的现有规范及其实践,坚持延续公益性的组织价值、平衡多元化的分配价值和凸显正当性的程序价值的逻辑理路,从非营利性民办学校剩余财产处理的实体规制与程序规制入手,在新《中华人民共和国民办教育促进法》落地实施中纵向具体化《中华人民共和国民法典》明确的三种法定途径,有效规制剩余财产的范围、剩余财产接收主体的范围与条件,以及剩余财产处理的学校章程设定程序、权力机构决议程序和主管机关主持转移程序。The surplus property of a non-profit private school is an important part of the legal person property of the non-profit private school.The specific institution design of non-profit private schools' surplus property disposal is a key link in the withdrawal mechanism of non-profit private schools.Under the background of classified management,it is urgent to focus on the existing norms and practices of non-profit private schools' surplus property disposal,adhering to the logic of continuing the non-profit of organization value,balancing the diverse of distribution value and highlight legitimacy of procedure value,starting from the substantial and procedural regulation of the non-profit private schools' surplus property disposal,and vertically extending and refining three statutory approaches in the Civil Law during the implementation of the new Nonstate Education Promotion Law and then effectively regulating the scope of the remaining property,the scope and condition of recipients of the remaining property,and the school charters' formulating procedures for surplus property disposal school,the decision-making procedures for school decision-making body,and the presiding over and transferring procedures for competent authority.
