新加坡国有企业治理:“淡马锡模式”再考察

摘　　要：国有企业是新加坡经济的重要组成部分,淡马锡控股及其“淡联企业”是新加坡国有企业的典型代表,形成了别具特色的“淡马锡模式”。“淡马锡模式”是公共治理和公司治理相结合的产物,既体现在法治体系、行政体系和社会大众对于淡马锡控股及其“淡联企业”的公共治理方面,也体现在淡马锡控股及其“淡联企业”的公司治理方面。“淡马锡模式”启示中国国资国企改革要注重公共治理和公司治理同步,强化企业市场主体地位,规划资本投向并维护股东权益,与国际规则相衔接,发挥好国有企业和国有资本的作用。尽管有不少专业化的做法和经验可资借鉴,但是“淡马锡模式”也有其推广局限,其基于同质资本的运营风格与中国国有企业存在很大差异。State-owned enterprises,such as Temasek Holdings and its Temasek Linked Companies,play a crucial role in Singapore's economy.The Temasek Model is a unique combination of public governance and corporate governance.It is reflected not only in the public governance of Temasek Holdings and its Temasek Linked Companies by the legal system,administrative system,and the public,but also in the corporate governance of these entities.To effectively utilize the Temasek Model,attention must be paid to both public and corporate governance.This involves strengthening the principal position of enterprises in the market,planning capital investment,safeguarding the rights and interests of shareholders,complying with international rules,and maximizing the role of state-owned enterprises.While the Temasek Model offers many professional practices and experiences that can be used for reference,its limitations are also apparent.As such,it is important to continue to explore and develop new models that can effectively utilize the strengths of state-owned enterprises while addressing their limitations.
