摘　　要：以2013—2020年中国A股上市公司为研究样本,从社会网络视角实证探究了独立董事关系网络位置对企业管理层报告信息含量的影响。结果表明,独立董事关系网络位置的提升有助于MD&A信息含量的增加。基于行业、公司和独立董事个体层面的进一步研究发现,行业竞争程度越高,独立董事关系网络位置对MD&A信息含量的正向影响越大;管理层权力的提升会弱化独立董事关系网络位置对MD&A信息含量的正向影响;当独立董事履职效率较高时,独立董事关系网络位置对MD&A信息含量的正向影响更加显著。Taking China’s A-share listed companies from 2013 to 2020 as research samples,this paper empirically explores the influence of the network position of independent directors on the information content of MD&A from the perspective of social networks.The results show that the improvement of the network position of independent directors helps increase the information content of MD&A.Further research at the levels of industry,company,and individual independent directors shows that the higher the degree of industry competition,the greater the positive influence of the network position of independent directors on the information content of MD&A.The enhancement of management power will weaken the positive influence of the network position of independent directors on the information content of MD&A.When the performance efficiency of independent directors is high,the network position of independent directors has a more significant positive impact on the information content of MD&A.
