国有资本投资公司法律制度建构的应然选择——以中国平煤神马集团为例

摘　　要：作为三层级国资监管体制的核心,国有资本投资运营公司(简称国有投资运营公司或两类公司,其中包括国有资本投资公司)制度建构是当前国资国企改革的核心内容和重要任务,是实现向管资本转变的重要制度抓手。其制度体系由相互联系的三部分组成:授权经营制度是整个制度体系的基础和起点,独立董事会的市场化运作制度是关键,全方位监管制度是国资安全运作的保障。中国平煤神马集团作为河南省特大型能源化工企业,转型任务和市场化改革深化的要求决定了其必然嬗变为国有资本投资公司。其制度嬗变应遵守政企分开、市场化和安全原则,政府或国资监管部门的充分授权是国有资本投资公司制度建构的关键,独立运作董事会制度的设计是制度运作的核心,全方位监督制度体系的构建是国有资本安全运作的保障。The establishment of a state-owned capital investment company system is the core component and an im-portant task within the current state-owned enterprise reform,a vital institutional grip for transitioning to capital management.China Pingmei Shenma Group,as a large energy and chemical enterprise in Henan,has its transformation into a state-owned capital investment company dictated by its mission for market-oriented reform deepening and the requirements for transformation.The institutional evolution should ad-here to the principles of separating government and enterprise,marketization,and safety.Full authorization by the government’s state-owned assets supervision department is key to institutional construction,the de-sign of an independently operated board of directors system is the core of the operation of the state-owned investment company,and the construction of an all-encompassing supervisory system is the safeguard for the safe operation of state-owned capital.
