摘 要:本文以福建省属国有企业ZB集团对权属公司KR公司实施混合所有制改革作为案例分析混改的动因、实施路径和效果。实践证明,混改后的公司股权结构、治理结构、组织架构都有了明显改善,初步实现了以“混资本”促“改机制”的初衷。本文从民企控股、集约发展、退而有序三个方面总结案例的创新性,并从顶层设计、实施路径、引资用资、体制改革和组织保障五个方面提出混改的运作思路和实务建议,旨在探索国企改革三年行动方案背景下国企混改的实施路径,助力国有企业做强做优做大和国有资本保值增值。Taking Fujian-based state-owned ZB Group’s implementation of mixed ownership reform of its subsidiary KR Company as a case study,the paper analyzes the motivation,implementation path and effect of mixed ownership reform.Practice has proved that the company’s equity structure,governance structure and organizational structure have been significantly improved after the mixed ownership reform,and the original intention of promoting the“reform mechanism”with“mixed capital”has been initially realized.This paper summarizes the innovation of the case from three aspects:private enterprise holding,intensive development,and orderly retreat.The operation ideas and practical suggestions of mixed ownership reform are put forward from five aspects:top-level design,implementation path,investment attraction and utilization,system reform and organizational guarantee.The purpose is to explore the implementation path of the mixed ownership reform of state-owned enterprises under the background of the three-year action plan for the reform of state-owned enterprises,help state-owned enterprises to get stronger,do better,and grow bigger,and to maintain and increase the value of state-owned capital.
