新公司法视域下国有企业合规管理体系建设研究

摘　　要：本文以国有企业合规管理现状为切入点,介绍了目前国有企业合规管理体系建设存在的问题,并结合新公司法修改实施后国有企业合规管理体系建设新要求,对企业合规管理建设路径提出思考。新公司法实施后,对法律规范主体进行扩大,对合规体系建设提出要围绕内部控制以风险管理为基础进行,从分散职能监管向集合式管理进行优化。通过研究,提出要建立一体化的合规组织领导体系、强化企业内部规章制度穿透式建设、以风险管理为基础构建四位一体的“大合规”体系,助推国有企业深化改革、高质量发展。This paper takes the compliance management situation of state-owned enterprises as the starting point,introduces the usual situation of the construction of compliance management system in state-owned enterprises,and combines with the new requirements for the construction of compliance management system in state-owned enterprises after the amendment and implementation of the new Company Law to propose thoughts on the path of enterprise compliance management construction.After the implementation of the new Company Law,the legal regulatory body will be expanded,and the construction of the compliance system will focus on internal control,with risk management as the foundation,and optimize from decentralized functional supervision to centralized management.Through research,this article proposes to establish an integrated compliance organizational leadership system,strengthen the penetration of internal rules and regulations,and build a four in one"big compliance"system based on risk management,gradually improving the construction of compliance man-agement system in state-owned enterprises,and promoting the deepening reform and high-quality development of state-owned enterprises.
