摘　　要：农村集体经济组织治理的完善与强化,事关农民权益保障、集体资产安全与乡村振兴成效。以成员大会为中心的内部治理机制虽具有道德正当性,但也存在固有的效能边界,机制运行仍可能面临较大困境。探寻农村集体经济组织的外部治理机制,具有现实必要性。在市场化趋势下,农村集体经济组织的外部治理逐渐生成,并通过机制运行、法权规范、信息交流与价值导向等方面发挥效能。农村集体经济组织外部治理效能的拓展,可以从发展经理人与产品相关市场、创新竞争范式、完善信息公开制度、加强价值治理等路径展开。当然,外部治理的效能能否稳妥发挥,关键在于立法、理论与改革实践能否彻底厘清农村集体经济组织的特别法人属性。The improvement and strengthening of the governance of rural collective economic organizations is related to the protection of farmers'rights,the security of collective assets and the effect of rural revitalization.Although the internal governance mechanism centered on the general meeting of members has moral legitimacy,it also has inherent efficiency boundary,and the operation of the mechanism may still face great practical difficulties.It is necessary to explore the external governance of rural collective economic organizations.Under the trend of marketization,the external governance of rural collective economic organizations has gradually come into being,and it will exert its effectiveness through mechanism operation,legal rights norms,information exchange and value orientation.In the future,the external governance efficiency of rural collective economic organizations can be expanded by developing markets such as managers and products,innovating competition paradigm,improving information disclosure system and strengthening value governance.Of course,whether the effectiveness of external governance can be played stably depends on whether the legislation,theory and reform practice can completely clarify the special legal person attributes of rural collective economic organizations.
