摘 要:在企业的不同发展阶段,并购可以作为一种战略选择帮助企业实现快速成长或转型。选取华润三九并购昆药集团为例,通过对并购案例的进一步研究分析,运用事件研究法与财务指标法进行绩效研究,评估并购对华润三九整体业务的影响。研究表明本次并购对华润三九产生了一定的积极影响,加速了康复慢病事业部发展的战略布局,本次并购案例也为中国企业的并购战略提供参考。Mergers and acquisitions(M&A)can be used as a strategic choice to help enterprises achieve rapid growth or transformation at different stages of development.China Resources Sanjiu(CR Sanjiu)and Kunming Pharmaceutical Group(KPG)are selected as an example to assess the impact of M&A on the overall business of CR Sanjiu through further research and analysis of the M&A case,and performance research using the event study method and the financial indicator method.The study shows that this M&A has had a certain positive impact on CR Sanjiu,accelerating the strategic layout of the development of the rehabilitation and chronic disease division,and this M&A case also provides a reference for the M&A strategy of Chinese enterprises.
