摘 要:随着国有企业改革进程不断推进,国有企业并购民营企业逐渐成为一种普遍现象,但国有企业与民营企业在决策机制、企业管理价值观、财务管理及监督评价体系等方面存在较大差异,这些差异所带来的风险是管理者不容忽视的问题。文章从国有企业并购民营企业的动因、二者管理上存在的差异,以及并购后国有企业如何实施有效管控方面进行了探讨和研究,旨在为国有企业并购管理提供一定启示。As the reform of state-owned enterprises(SOEs)continues to deepen,the merger and acquisition(M&A)of private firms by SOEs is increasingly becoming a common trend.However,significant differences exist between SOEs and private firms in areas such as decision-making mechanisms,enterprise management values,financial management,and supervisory evaluation systems.The risks posed by these differences are a matter that managers cannot afford to overlook.This article discusses and researches the motivations behind SOEs'mergers and acquisitions of private firms,the management differences between the two,and how SOEs can implement effective controls post-acquisition,in order to provide some inspiration for the management of SOEs'mergers and acquisitions.
