摘　　要：党的领导嵌入国有企业治理制度是彰显企业制度优势的题中之义。从历史维度看,国有企业产生和发展的历史同时也是一部探索中国特色国有企业治理制度的历史,这一探索始终是在党的领导下进行的,而且职工参与治理是党的领导开放的体现;从理论维度看,党的领导不仅起着驾驭资本逻辑的作用,而且扮演了生产资料所有权与劳动力所有权“管家”的双重角色;从实践维度看,党委前置、股东大会和职工代表大会按其力量对比共同向董事会注入生产资料所有权代表和劳动力所有权代表,是因应国有企业朝着建立现代企业制度过程中暴露的问题作出的新的制度安排,跳出了西方主流的企业治理理论的窠臼,体现了党的领导与职工参与治理、所有权控制经营权三者的统一。The leadership of the Party embedded in the governance system of state-owned enterprises is the meaning of highlighting the property of enterprise public ownership and institutional advantages.From the historical dimension,the history of the emergence and development of Chinese state-owned enterprises is also a history of exploring the governance system of State-owned enterprises with Chinese characteristics,which is always carried out under the leadership of the Party which is open to the participation of workers in governance.From the theoretical dimension,the leadership of the party not only plays the role of controlling capital logic,but also plays the dual role of“steward”of ownership of means of production and ownership of labor force.From the practical dimension,party committee precedence,the general meeting of shareholders and congress of workers and staff,according to the balance of their power,jointly inject representatives of ownership of means of production and labor force into the board of directors,which makes new institutional arrangements in response to the problems exposed by state-owned enterprises towards the establishment of modern governance system,jumping out of the trap of western mainstream theory of corporate governance,reflecting the leadership of the Party integrating employee participation in management,ownerships controlling right of management.
