摘　　要：在全球经济治理体系深度调整与“一带一路”高质量发展协同演进的背景下,中国企业海外利益保护机制构建,已成为关乎国家经济安全与全球竞争力的战略性课题。中国企业海外利益保护主体涵盖企业和海外人员的双层结构。企业作为海外投资的核心责任主体,需要通过风险内化的制度性重构,建立健全的风险防控机制,提高自身的抗风险能力;而海外人员作为人文主体,则是企业海外利益的重要组成部分,需要通过社会嵌入性的战略升级,加强与当地社会的融合,为企业的海外发展创造良好的外部环境。面对国际政治、经济、法律风险交织的复杂环境,可通过加强政府部门的引导支持、构建多层次经济防御体系,以及构建中国企业海外利益保护法治体系框架等,积极推进中国企业海外投资利益保护的系统性建设。Under the dual evolution of profound adjustments in the global economic governance system and high-quality development of the Belt and Road Initiative,establishing overseas interest protection mechanisms for Chinese enterprises has emerged as a strategic imperative critical to national economic security and global competitiveness.The protection framework comprises a dual structure:enterprises as core investment entities and overseas personnel as human resources.Enterprises,as principal stakeholders in overseas investments,must institutionalize risk management through restructuring internal control systems,enhance risk prevention capabilities,and strengthen resilience against external pressures.Meanwhile,overseas personnel as the human dimension of corporate operations,constitute vital components of these interests.Their protection requires strategic upgrading of social embeddedness to foster deeper integration with local communities,thereby creating a favorable external environment for corporate expansion.To navigate the intricate web of international political,economic and legal risks,systematic solutions should be advanced through three pillars:reinforcing government guidance and support mechanisms;constructing multi-tiered economic defense architectures;developing a legal framework for safeguarding Chinese enterprises’overseas interests.This integrated approach will enable proactive institutionalization of protection systems for China’s outbound investments,ensuring sustainable globalization of Chinese enterprises while mitigating systemic vulnerabilities.
