摘　　要：美国公司的治理结构存在诸多的问题,主要表现为主权分散,流动性强,外部控制受到抑制、企业经营短期化、机构投资者作用不强、审计和会计的独立性存在问题等。我国公司应该从中吸取教训。Starting with Enron crisis , the author analysis the history of America Corporate Governance ,research the forming and development of America corporate governance, summarize the characteristics and limitations of the model ,in the end give proposal that been applied in China.
