摘　　要：在调查目前部分上市公司现代企业制度建设过程中存在的主要问题的基础上,分析了形成这些问题的背景和原因,提出了进一步健全和完善上市公司治理结构的对策,包括:保证董事会的独立性、完善独立董事制度、加强监事会建设、建立有效的约束与激励机制、培育公司治理文化、完善内控制度、改善外部治理机制、完善派生诉讼制度、调整股权结构等。:This paper analyzes the background and causes of th e existing problems, and puts forward some policies on perfecting and improving go vernance structure of listed companies, such as:ensuring the independence of boa rd of director,perfecting the system of independent director, enhancing supervis ory committee,setting up effective mechanism of stimulating and restriction, fos tering corporate governance culture,improving internal control system,reforming external governance mechanism,establishing derive lawsuit system, adjusting stru cture of stockholder′s equity, enhancing governance assessment, etc.
