我国公司资本制度之现状及完善措施

摘　　要：公司资本制是公司从事经营活动的重要制度 ,我国目前实行的严格法定资本制度 ,虽然对防止公司滥设、保护公司债权人的合法利益、提高公司的社会依赖程序具有积极作用 ,但在现实生活中 ,也产生了许多负面影响。为了使我国公司资本制度在建立现代企业制度中发挥更大作用 ,我们可以在更广泛的范围内借鉴国外的成功经验 ,把授权资本制、折衷资本制以及公司设立无效规则 ,降低注册资本的最低限额等作法纳入到我国公司资本制度之中 。The capital systems of companies are important for enterprises operation. China has established strict legal capital systems to prevent companies from being in discriminatly established, protect creditors legitimate rights and interests and enhance the trust in companies,but many negative impacts have also produced. In order to make further use of capital systems in the course of establishing modern systems of enterprises, we can use the successful experiences of other foreign countries for reference such as briningg the capital systems of attorney, the capital systems of impartialoty, invalid formulas and reductiom of the lowest norm of registered capital into our capital systems to perfect them.
