摘　　要：我国国有企业治理结构的主要问题是股权过分集中 ,决策政企难分 ;代理成本过高 ,代理效率低下 ;治理结构失衡“内部人控制严重” ;董事会运作失范“新老三会”并存 ,激励约束不健全 ,企业家成长困难。针对这些问题制定完善国企治理结构的对策 ,借鉴外国的经验 ,结合我国的国情 ,创造企业家成长环境 ,使之推动企业的发展 ,推动社会的进步。The excessive arcentration of shares is the prime problem of administrative structure of state-owned enterprises. It is hard to separate enterprises from govemment. The acting cost is so high that the efficiency of acting is low; the adminstrative struture lost its control as 'The inner took too much of the rights'. The board of directors doesnt work well, so that 'the new and the old union' exist together. It is lack of encouragement and control and it is hard for the enterpriser to grow up well. Countering these questions, the countermeasure to perfect the administrative structure of state-owned enterprises are put out.
