摘　　要：现行委托代理制度下的公司治理机制存在着弊病,很难有效地解决所有权与经营权分离所引发的“代理问题”。文章在美国旧金山财务经济学家和公司治理专家 Mark Latham提出的“监督机构”治理思路的基础上,提出一种新的公司治理模式:外部专业监督机构与职业董事制度,试图对现存的公司治理模式进行变革。The present corporate government mechanism, based on principal - agent system, has many defects. It is difficult to solve the 'agency question' caused by the separate owner ship from management authority effectively. With analysis on the principal -agent system and the corresponding corporate governance mechanism, this paper proposes a new corporate government model:external special supervisory institution and professional director system, to reform the current corporate government model.
