摘　　要：目前我国上市公司治理现状不容乐观 ,迫切需要引进独立董事制度来改革我国公司内部监督机制。同时必须结合我国特殊情况来修正独立董事制度 ,除其本身完善之外 ,还必须为其营造良好的基础环境。The current situation of listed companies in China is not satisfactory.It is urgent to introduce independent director mechanism to reform internal supervisory mechanism in listed companies of China.At the same time, China must perfect independent director mechanism according to its own special circumstances. It is necessary to create favorable and fundamental surroundings as well as to perfect independent director mechanism itself.
