摘　　要：委托代理问题是公司治理结构乃至整个现代企业制度的核心问题。本文从委托代理理论出发,通过对国有企业委托代理关系的特殊性进行分析,提出改革国有资产管理体制是解决国有企业委托代理问题的关键。要改善国有企业委托代理关系,必须构建新的国有资产管理体制。Trust-agency is the core of enterprise governing and even of the whole modern enterprise system. Based on the theory of trust-agency, and the analysis of the particularity of it in state-owned enterprise,the paper points out that the reform of the administrative system of state-owned capital is the key to the solution to the problems in such relationship in state-owned enterprise. It is of great necessity to construct new administrative system of state-owned capital so as to improve the trust-agency relationship in state-owned enterprise.
