摘　　要：本文将投资秩序理解为特定企业体制下的企业投资活动所必须遵循的运行规则和实施程序。文章认为 ,企业体制与投资秩序之间存在着同构关系 ,企业体制变动会改变企业原有的投资秩序 ,而投资秩序的改变会影响企业的投资选择行为。以投资活动而言 ,企业体制的市场化程度不同 ,经理阶层的有限理性发挥程度、处理信息和环境不确定性的程度也不相同。文章在一定程度上以制度安排和路径依赖为分析框架 ,针对我国现阶段具有典型意义的股份制 ,分析了企业体制与投资秩序在总体格局上所存在的问题。Investing order in this article is comprehended as an imperative operation rule and procedure in the investment of a particular enterprise system. We think the enterprise system corresponds with the investing order. The enterprise system fluctuation will change the original investing order, and the changes of the investing order will affect the investment choice behavior of the enterprise. In regard to investing activity, the reasonable creation, the handling of information and the environmental indetermination of the managerial stratum depend on the maturing degrees of the enterprise system. Taking an analyzing frame of the system arrangement and the path dependence of a certain degree, and aiming at the typical issue of the share system at the present stage of our country, this article analyzes the problems of the enterprise system and investing order in the scale as a whole.
