摘　　要：分析了高新技术中小企业私募融资的特征,借鉴美国私募制度及资本市场运作机制,对我国高新技术中小企业的私募融资带来的益处进行了深入的探讨。指出了目前私募融资的重要性和在我国建立私募融资的相关法律体系的必要性和迫切性。By learning from private financing system and capital market operation mechanism in the United States, this paper analyzes financing characteristics of high - technology small and medium - sized enterprises and discusses the benefit of small and medium - sized enterprises from private financing and points out the importance and necessity of private financing and establishment of the related law system in China.
