完善我国独立董事制度的几点建议

摘　　要：与美国相比,我国独立董事的产生有不同的时代背景和实施的目的。针对当前我国独立董事主要在选择机制、人数、同监事会的关系、激励方式和职权与责任这五个方面存在的问题,提出了解决这些问题的对策,以完善我国的独立董事制度。The independent directors in China have different historical background and goal from the U.S. ones. There exist five problems in the system of independent director: selection mechanism; numbers; relation with supervisory committee; inspiration form and 'right and responsibility'. The measures to solve the problems are presented to improve the system of independent director in China.
