国际企业并购及我国企业的对策

摘　　要：在我国加入世贸组织的新的历史条件下,外国跨国公司对我国的直接投资形式发生了变化,即由过去的投资办企业为主转变为收购我国企业股权为主,以期掌握企业的经营控制权。国际企业并购对我国企业发生了正负两方面的影响,因此,我国企业的对策应该是,充分发挥其积极的影响作用方面,限制或避免其消极的或负面的影响。Under the historical precondition of our country to join the WTO, the form of the investment of Foreign companies are changed, that is, from investment to establish a enterprise transfered to buy stock right of the enterprise of our country in order to control the managerial right. International enperprises combines make both effects of positive and negative to our enperprises, therefor, our countermeasures should exert positive aspect of effect, avoid or place restrictions on negative aspect of effect.
