摘　　要：本文在对证券欺诈行为的外延作了恰当界定的基础上 ,对比分析了证券欺诈与一般民事欺诈的不同构成要件 ,并就完善我国证券欺诈民事责任制度的因果关系。Based on marking the security frauds properly, the thesis makes a comparative analysis of constitutive requirements between security fraud and common civil fraud. Furthermore, the thesis analyses transaction causation, doctrine of liability fixation and amount of compensation of security fraud, and puts forward some measures to improve the civil liabilities system of security fraud.
