试析上市公司独立董事制度

摘　　要：通过对独立董事制度的分析 ,阐述了独立董事的概念、特点、职业要求 ,以及这一制度在我国上市公司治理与发展中的积极意义。在对我国独立董事制度沿革进行回顾的基础上 ,指出了在目前独立董事制度实践中存在的一些问题 ,并提出了解决问题的相应对策。This article explained the independent director effective to the listed company administration and positive meanings that develops and pointed out some questions existing in the independent director's system practice of our country at present,and has proposed that solves the corresponding countermeasure of the problem.
