摘　　要：本文针对美国投资决策的实物期权理论研究与企业实践脱节这一现实问题,从美国和日本公司治理结构差异的角度给予了一个合理的解释,并对我国公司治理结构的改善提出了一些政策建议。Aiming at the existing dilemma that the corporate practice is separated from the Real Option Theory analysis in US, this paper gives an explanation based on the difference of corporate governance structures between US and JapanFurthermore,how to improve the corporate governance structure in China is put forward
