艾勒曼“民主公司制”理论的启示——兼论职工参与公司治理的基本模式

摘　　要：艾勒曼是美国著名的经济学家,通过对各国公司管理模式的全面考察,创造性地提出了“民主公司制”理论。该理论强调公司是“职工所控制的公司”。为了确保职工能够有效地控制公司,艾勒曼十分倡导“职工持股计划”的实施。本文通过对艾勒曼“民主公司制”理论的解读,认为可以借鉴“职工持股计划”来完善我国现有的公司治理机制。Al, a well-known American economist, proposed the theory of 'System of Democratic Corporation' based on his thorough investigations of the corporations' management patterns in the world. This theory put much emphasis on 'Staff's right to manage the company'. To make sure that the staff could effectively share the right of company's management, Al urged the implementation of the plan of 'Staff's holding shares'. The analysis of this theory lead to a conclusion that 'Staff's holding shares' can be borrowed to improve our current company management system.
