摘　　要：本文从正确理解我国企业在外资购并过程中的地位出发 ,针对目前国内各方引用的企业价值评估方法的迥异 ,引入拉巴波特模型 (RappaportModel)估价方法。并且通过实际演算验证了该方法在企业价值评估中具有一定的实际应用价值。This paper is focusing on expressing,how to deal with the finance problem by using of cash discharge and cite a model made by Rappaport and through using the case to further demonstrate the value of this method.
