摘　　要：由产权、信息等原因带来的代理问题,即内部人控制是现代股份公司中亟待解决的问题之一。控制内部人问题不仅依靠优化股权结构,增加流通股;而且还需加强外部市场约束机制,完善公司激励机制;另外,采取价值评估指标来衡量内部人治理业绩也很重要。The issue of agency conflicts caused by property right and information,also known as insiders' control, is one of the problems to be urgently solved in modern stock companies. To control the insiders, stock companies have to not only optimize the share right structure, and increase the stock circulation, but also reinforce the restrict system of external market, and perfect the incentive system of the companies. Furthermore,it is important to adopt evaluat indicators based on the value measure the administrative performance of the insiders.
